 How long does it takes to incorporate a company?

The entire incorporation process takes 1 working days unless there are documents to be sent to you for signing or the approval of company name needs to be reverted to certain government bodies. Example: Companies activities such as banks, medical, school, travel agents, publishers etc are subject to approval from government bodies.


 
 Types of Companies

Private Limited Companies: Number of shareholders is limited to 50 or less. Public Companies: Number of shareholders can be more than 50 members and the company may raise capital by offering shares and debentures to the public. Branches of Foreign Companies: These are companies whose country of origin are outside Singapore and who wish to set up a branch in Singapore. The companies are registered and not incorporated under the Companies Act, Chapter 50.

Every Limited Company in Singapore requires a company secretary throughout the year - Section 177 of the Companies Act. We will act as your company secretary and this service includes acting as named secretary, maintaining the statutory books and preparation of all relevant minutes for directors' and shareholders' meetings', the preparation of forms to be filed with the ROC (Registry of Companies And Businesses), share transfer forms and any other documentation normally required in the field of Company Secretarial work.
 
Registered office/Business address service
 
 It is a requirement under the Companies Act for all Singapore Companies/ Businesess to have a registered office in Singapore.
 
 We provide a registered office facility at our address. For clients who wish to give the impression that they have a presence in the Singapore, we also offer our business address and mail, fax forwarding facility and the use of our meeting rooms.
 
 
Corporate director
 
 A private limited company requires a minimum number of two individual directors of which at least one has to be an Singapore citizen, Singapore permanent residence or having an employment pass in Singapore.
 
 Our representative may act as your company's local director if you have difficulties appointing a director of your own.
 
Shareholder
 
 A private limited company must have at least two shareholders if they are individuals. One of our officers may act as a nominee on behalf of the beneficial owner. A suitable Declaration of Trust may be prepared upon request.
 
EntrePass (Employment Pass for Entrepreneurs)
 

 For a foreigner to act as the local director, we can apply for his/her employment pass (either before the incorporation or after).
 
 We will apply for an EntrePass (Employment Pass for Entrepreneurs) and once it's approved we will proceed to incorporate the company.
 
 The following documents are required from the applicant:

  • Detailed Resume
  •  2 passport sized photographs
  •  Details of past and current education and employment history
  •  Photocopies of education certificates
  •  Letters from past and present employers
  •  Membership in any association or organization
  •  Business Plan for the proposed company ( We can prepare a business plan for you should need one)
  •  We will also require you as the applicant to complete and sign the necessary EntrePass Form.
